about us

Barengi Gadjin Land Council (BGLC) represents Traditional Owners from the Wotjobaluk, Jaadwa, Jadawadjali, Wergaia and Jupagulk peoples, who were recognised in a 2005 Native Title Consent Determination, the first in south-eastern Australia.

BGLC is the Federally recognised authority to speak on behalf of the Wotjobaluk peoples. We are also the only body in the region with the legislative authority to make legal decisions about cultural heritage.

We are the Prescribed Body Corporate for the Wotjobaluk claim area, as outlined in the Native Title Act, giving us legal authority and obligation to work on behalf of Traditional Owners.

BGLC is a Registered Aboriginal Party, as appointed by the Victorian Aboriginal Heritage Council, under the Aboriginal Heritage Act 2006.

about the role

Performance Responsibilities:

  • Ensure meeting agenda and board papers are prepared and forwarded to board Directors one week before meetings in conjunction with the Chair and the CEO;
  • Attend, record, maintain and distribute minutes and actions of the Board and Board sub- committee meetings as required;
  • Attend, record, maintain and distribute the minutes of the WJJWJ Full Group Meetings;
  • Coordinate, prepare for and attend all annual or extraordinary general meetings of the Corporation;
  • Maintain corporation registers, statutory lodgements, and other filings with Office of the Registrar of Indigenous Corporations (‘ORIC), and as per the Corporations (Aboriginal and Torres Strait Islander) Act 2006 (‘CATSI Act’). ;
  • Act as official Company Secretary / Contact Person with ORIC
  • Meet all requirements under the CATSI Act applicable to the role of Secretary / Contact Person;
  • Maintain, update and ensure Directors' files are up to date, including having an up-to-date copy of any corporate governance documentation;
  • Ensure the digital security of all Directors' files to ensure for Directors use and viewing only;
  • Provide advice on the interpretation and compliance of the Corporation Rulebook and CATSI Act;
  • Development and coordination of Board meeting calendar and Board Committee meeting calendars; and
  • Develop and coordinate the Board schedule of policy review and governance obligations.

key selection criteria

  • Two years experience as a Company Secretary or in a similar governance role;
  • Knowledge of legislation relevant to the corporation including, but not limited to, the Corporations (Aboriginal and Torres Strait Islander) Act 2006, Native Title Act 1993, Traditional Owner Settlement Act 2010 and the Aboriginal Heritage Act 2006
  • Knowledge and understanding of relevant governance and compliance requirements;
  • Demonstrated understanding of Board governance matters and proven ability to support and
  • influence the Board agenda to ensure compliance with organisational, fiduciary and legal obligations;
  • Excellent planning, organisational and time management skills and an ability to prioritise;
  • Strong written and oral communication skills;
  • High-level stakeholder management skills;
  • Associate or Fellow of the Governance Institute of Australia; and
  • Tertiary qualification in law, commerce or relevant discipline or demonstrated equivalent skills and experience
