The Role

The Governance Officer is responsible for overseeing and managing key governance activities for Bridge Housing and its associated entities. The role has a key focus on supporting the company secretarial function to deliver upon its commitments to Bridge Housing’s Board.
This role supports three main functions: company secretarial, governance and legal reporting directly into Bridge's General Counsel and Company Secretary.

What will a day as a Governance Officer look like?

Company Secretarial Support:

  • Coordinate meetings, training, and functions for the Board of Directors and subcommittees
  • Oversee agendas, minutes, actions, and the production of Board papers
  • Manage ASIC filing and AGM documentation
  • Maintain registers, including the Conflict of Interest Register, to ensure Board compliance
  • Liaise with key stakeholders to collate relevant data for Board communications and ensure all communication is professional and accurate

Governance and Compliance Support:

  • Promote good governance principles and provide advice to employees to improve internal processes
  • Manage internal registers of policies, ensuring timely reviews and updates
  • Assist in developing governance frameworks and compliance policies
  • Support internal and external audits and compliance projects
  • Liaise with the finance team to monitor financial covenants

Legal Support:

  • Assist the legal function with secretarial support, including arranging meetings, preparing documents, and conducting legal research
  • Provide support in the preparation and review of legal agreements and correspondence

Who are we looking for?

  • A minimum of 3 years’ experience in a senior or high-level administrative support role
  • Strong proficiency with board management software (e.g. Diligent) and execution management tools (e.g. DocuSign)
  • Intermediate to advanced skills in the MS Office
  • Advanced oral and written communication skills, with a proven ability to draft governance documents, such as board reports, policies, and compliance records
  • Strong interpersonal skills and the ability to build professional relationships with internal stakeholders
  • A demonstrated ability to organise and manage your workload effectively to meet deadlines.
  • High-level confidentiality and professionalism in a corporate environment
  • Experience working closely with a Board of Directors, senior management, or legal counsel is a plus!
