The Senior Governance Officer will support the People and Governance Coordinator in promoting and implementing best practices in governance across AIDA. This role ensures compliance with statutory and regulatory requirements, supports the effective operation of the Board of Directors, and contributes to the continuous improvement of organisational policies and procedures.

Key responsibilities

  • Provide high-level governance support to the Board and its committees, ensuring efficient operations and adherence to best practices.
  • Assist in the preparation and distribution of Board and committee meeting agendas, papers, and minutes, ensuring accuracy and timely follow-up of decisions and actions.
  • Maintain accurate records of Board decisions, resolutions, and action items, ensuring accountability and compliance.
  • Coordinate Board member inductions and ongoing governance training, ensuring Board members are well-equipped to fulfill their responsibilities.
  • Support the development, review, and implementation of governance policies and procedures, ensuring alignment with AIDA’s constitution and governance framework.
  • Assist in the development and maintenance of AIDA’s risk management framework, providing governance-related insights.
  • Ensure policies are up-to-date, effectively communicated, and accessible to Board members and key stakeholders.
  • Act as the primary point of contact for Board governance-related inquiries, providing clear and informed advice.
  • Support the People & Governance Coordinator on governance matters, ensuring alignment with broader organisational processes.
  • Foster productive and professional relationships with Board members, staff, and external governance stakeholders.

Essential skills

  • Demonstrated recent experience in Board governance support within a not-for-profit, government, or member-based organisation.
  • Strong understanding of corporate governance principles, Board operations, and regulatory compliance.
  • Excellent organisational and time management skills, with the ability to coordinate multiple Board and committee priorities simultaneously.
  • High level of attention to detail and accuracy, particularly in Board documentation and minute-taking.
  • Proficient in the use of Microsoft Office Suite and governance-related software (e.g., Board portal systems).
  • Excellent written and verbal communication skills, including the ability to draft Board reports, policy documents, and governance correspondence.
  • Ability to work collaboratively with Board members, executives, and key stakeholders, ensuring effective governance processes.
  • Demonstrated ability to handle confidential Board matters with discretion and professionalism.

Desirable skills

  • Experience working with or within Indigenous organisations, particularly in a governance capacity.
  • Membership with a relevant professional body (e.g., Governance Institute of Australia).
  • Relevant qualifications in governance, business administration, or a related field.
  • Demonstrated experience and success in remote working environment.

While this role is a remote position, it is strongly desirable that candidates live in an urban area, as travel will be necessary around Australia on a semi-regular basis, for board meetings, conferences, and all staff meetings. This position also requires availability outside of usual business hours to accommodate those face to face meetings, and to attend board meetings which are often in the evenings or weekends.
