The Role

As Company Secretary for Oxfam Australia, you will lead on ensuring it complies with its corporate governance obligations with under applicable laws. In this critical role, you will be responsible for being the liaison with external regulators (i.e. ACNC, ASIC etc.) for lodgements. You will also be responsible for the currency of relevant Board documents - including Board policies, registers, Delegations of Authority - and preparation of common Board documents such as deeds, resolutions and minutes.

Not only will you ensure the above compliance and provide all company secretarial advice on corporate governance matters, you will also act as the linkage between the Board, Executive bodies, and other senior staff within the organisation, and provide support to key functions.

Finally, you will also have responsibility and oversight of the Board Support Officer, to support them in preparing for Board meetings and member meetings and maintenance of key documentation.

A little about you (the key selection criteria)

To be successful in this role you will have:

  • Demonstrated experience and expertise: Extensive knowledge and / or demonstrated experience providing company secretarial advice on governance matters, in line with relevant documents (i.e. Constitution, Board Charter etc.)
  • Knowledge of governance principles: Deep knowledge of corporate governance principles, practices and compliance obligations in similar contexts to Oxfam Australia (for example, under the Charities Act 2013 (Cth), Australian Charities and Not-for-profit Commission Act 2013 (Cth), Corporations Act 2001 (Cth) etc.)
  • Liaison and stakeholder management: Experience acting as liaison between Executives, senior staff members and Board members, and managing direct reports
  • Board documentation: Experience developing and maintaining common Board documentation (including resolutions, Board minutes, registers, Board policies, Deeds etc.)
  • External regulators: Demonstrated experience managing lodgements and ensuring all compliance obligations are fully met, to external regulators (for example, ASIC, ACNC etc.)
