About the role:
As the Company Secretary, you will play a key role in ensuring the highest standards of corporate governance, compliance, and legal responsibility across the Skin & Cancer Foundation. You will work closely with the Board of Directors and senior management to maintain best practice governance and ensure the hospital meets its statutory and regulatory obligations under Australian law.
Reporting to the Board, the Company Secretary will be responsible for:
- Board Support and Meeting Coordination: Notify Directors, manage records, distribute agendas, and coordinate and attend annual and general meetings to record minutes.
- Compliance: Oversee compliance programs, ensure legislative and regulatory obligations are met, develop policies with key stakeholders, offer guidance on the Constitution, and advise on governance and Director liability
- Governance Administration: Maintain key governance registers, update policies and documentation, support Director inductions, and assist the Chair and Board as needed
- Stakeholder Communication: Lead the production of the Annual Report and ensure constructive and informative communication with Foundation members.
About you
The successful Company Secretary will have:
- Relevant qualifications, including AICD, law, or other postgraduate governance credentials.
- Strong knowledge or experience within the Australian healthcare industry.
- Excellent stakeholder management with the ability to build trusted relationships with the CEO and Board.
- Extensive experience as a Company Secretary, overseeing all key responsibilities, including governance, compliance, and Board support.
- Strong commitment to integrity, ethics, and professionalism, consistently upholding high standards in all actions and decisions.
- Sound judgment, efficient planning, and prioritisation abilities, along with a proactive approach to handling competing work demands.
- Outstanding communication skills, with the ability to clearly convey information, build trust, and nurture positive relationships with all levels of the organisation.
- Experience working in For-Purpose organisations, with an understanding of ACNC reporting compliance.
