Goodwin is seeking a highly skilled Company Secretary to join our leadership team.

About Goodwin

Goodwin Aged Care Services Ltd (Goodwin) has been caring for people in Canberra and the surrounding NSW region since 1954. Goodwin is the ACT's largest aged care, home care and retirement living provider and, in recent years, has expanded operations to the south coast of NSW.

Including those under development, the company now includes seven (7) retirement villages incorporating approximately 950 retirement living apartments and villas and 60 assisted living apartments, four residential care facilities with more than 400 aged care beds, and over 1,300 home care and day club clients. Goodwin has over 730 employees and volunteers.

Goodwin is a not-for-profit organisation structured as a company limited by guarantee and owned by members (mostly residents). Goodwin is a registered charity with the Australian Charities and Not-for-Profits Commission (ACNC) and is completely independent, that is, not affiliated to any other business, organisation, property developer, political or religious body.

In 2023/2024, Goodwin's group annual revenue was $148M, with a gross asset base of almost $800M

About The Role

The Company Secretary role is currently an additional responsibility for one of the Executive team members. Due to Goodwin's growth and the increasing complexity and governance requirements in the aged care sector, Goodwin is now seeking to make this a dedicated role.

This position is a key leadership role within Goodwin and is responsible for ensuring the organisation complies with all statutory, regulatory, and governance requirements. It acts as an additional bridge between the Board of Directors and the Executive Team, facilitating effective communication and ensuring that the Board's decisions are implemented efficiently. The Company Secretary also plays a pivotal role in advising the Board on governance best practices and ensuring that the organisation adheres to the highest standards of corporate governance.

The position also includes managing Goodwin's legal affairs and includes in-house legal counsel responsibilities.

The position reports to the Board in respect of the company secretary duties and to the Chief Executive Officer in respect to the in-house legal counsel duties.

This is a permanent part-time role of 3 days per week.

Key Responsibilities

Governance & Compliance

  • Ensure the organisation complies with all statutory, regulatory, and governance requirements.
  • Advise the Board on governance best practices and ensure compliance with relevant legislation, including the Australian Charities and Not-for-Profits Commission Act, Aged Care Act and other applicable laws.
  • Maintain and update the organisation's governance framework, policies and procedures

Board and Committees Support

  • Organise and prepare agendas, papers and minutes for Board, committee and members meetings.
  • Provide guidance to the Board on matters of ethics, governance and legal obligations.
  • Ensure timely distribution of Board, committees and members papers and accurate recording of Board decisions.
  • Assist with the orientation of new directors and Committee members and compilation of onboarding materials.

Legal and Regulatory Affairs

  • Ensure that the organisation meets its legal obligations, including mandatory reporting to government entities.
  • Management of legal affairs.
  • Provide advice on legal matters, including ethical and reputational issues.
  • Litigation management.
  • Mergers and acquisitions due diligence management.

  • A strong background in legal matters with relevant qualifications.
  • Demonstrated experience in company secretary services and working with Boards.
  • Exceptional attention to detail, accuracy and confidentiality
  • A high standard of professionalism and the ability to work under pressure
  • Strong problem-solving skills and the initiative to drive improvements.
  • A positive approach to change with strategic and analytical thinking.
  • Excellent organisational and time management capabilities.
