Overview of Company Secretary Responsibilities

  • Managing board processes including meetings, documentation, and records
  • Expertise and responsibility for corporate governance requirements including advising the Board of regulatory changes and responsibility for statutory obligations
  • Managing the Board’s information systems
  • Work with the Chair on induction of Directors
  • Leadership guidance, technical support and advice to the Board
  • Setting and managing high standards of ethical behaviour and decision making

Company Secretary - Key Accountabilities

  • Preparation and timely dissemination of papers to the Board, and Board Committees as required, and taking of minutes and associated documentation
  • Preparing all necessary documentation for AGM’s and special meetings as required
  • Management and maintenance of the Board’s documentation, ensuring currency and adherence
  • Maintaining company registers in a timely manner
  • Provide effective governance and compliance support to the Board
    • Researching options
    • Provide advice
    • Making recommendations based on advice
  • Support the Board’s sub-committees

Overview of Board Member Responsibilities

  • Safeguard the vision and mission of the organisation
  • Develop a broad understanding of the organisations programs and priorities to inform decision making and duty of care
  • Oversee the legal and financial accountability of the organisation, supporting the Company Secretary, Treasurer and Chair
  • Support the Chair with induction of Directors
  • Setting and managing high standards of ethical behaviour and decision making

Board Member - Key Accountabilities

  • Finalise and approve the annual budget
  • Participate in fundraising activities to ensure adequate resources for the organisation
  • Provide monthly updates to the Board on all activities undertaken related to the organisation
  • Undertake regular reviews of the organisation’s activities and make recommendations for improvement where required
  • Identify and manage risks to the organisation and its stakeholders
  • Engage in strategic planning for the organisation on an annual basis
  • Provide input to all internal policies, procedures, and reporting
  • Provide support and oversight to the Board’s sub-committees

General Board functions and responsibilities

  • Meet monthly for 2 hours in the evening
  • Time commitment approximately 8 – 12 hours per month
  • Tertiary qualifications (Law / Marketing / Fundraising highly regarded)
  • Experience in a Board or Company Secretary role
  • Exceptional communication skills
  • Strategic thinking skills
  • Innovative, ethical and forward-thinking mindset
